Terms and Conditions for Zefer AI - Effective Date: June 18, 2024
1. Acceptance of these Terms and Conditions
Please read these Terms and Conditions carefully before using Zefer AI’s platform. By accessing or using the platform, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use the platform.
2. Limited Use of the Platform
The Zefer AI platform is provided solely as a venue for buyers and suppliers to connect and facilitate transactions. Zefer AI is not a party to any agreements or contracts formed between users, and we disclaim all liability and responsibility for any actions or omissions of users or third-party service providers.
Disclaimer of Liability
In no event will Zefer AI be liable for any damages, claims, or losses arising from or related to:
The conduct of users or third-party service providers
Any transactions or agreements formed between users
The supply of goods or services, including but not limited to:
Shipping damage
Loss or theft
Non-delivery
Quality or condition of goods
Breach of contract or warranty
Any other damages or claims
By using the platform, users acknowledge that they understand and agree to these terms.
3. Registration
To use certain features of the platform, you must register for an account as either a buyer or supplier. You agree to provide accurate and complete information during registration, including a valid email address and phone number. You must verify your email address and phone number through the verification process provided by Zefer AI. You must update this information as necessary to ensure it remains accurate and complete.
4. User License
Zefer AI grants you a non-exclusive, non-transferable, revocable license to use the platform. You must comply with all applicable laws and these Terms and Conditions when using the platform.
5. Supplier Agreements
Suppliers can list products on the platform, providing detailed descriptions and pricing. All transactions are solely between the supplier and the buyer. Zefer AI provides a platform to facilitate these transactions but does not guarantee the quality or safety of the products listed.
6. Offering Products for Sale
Suppliers must accurately describe their products and ensure compliance with all applicable laws, including consumer protection and product safety regulations. Any images or content used must not infringe on third-party rights. Suppliers are responsible for ensuring the quality and safety of their products. Zefer AI is not liable for intellectual property infringement, forgery, or unauthorized use of listed information.
7. Fees and Payments
Zefer AI charges a service fee for transactions conducted through the platform. Fees and charges are outlined in our Fee Schedule, which may be updated periodically. All payments are processed securely, and Zefer AI is not liable for any unauthorized use of payment information.
8. Insurance
Buyers are responsible for obtaining adequate insurance coverage for their transactions. Zefer AI does not provide insurance and is not liable for any damages arising from transactions conducted through the platform.
9. Accuracy of Information
Users must provide accurate and complete information when using the platform. Zefer AI is not responsible for any losses resulting from information provided by users.
10. Suspension or Modification
Zefer AI reserves the right to change, suspend, or discontinue any part of the platform at any time without notice. Users agree that Zefer AI is not liable for any changes to the platform.
11. Termination
Zefer AI may terminate your access to the platform at any time for any reason. Upon termination, all rights granted to you will cease, and you must stop using the platform immediately.
12. Liability Disclaimer
The Zefer AI platform is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. Users acknowledge that they use the platform at their own risk. Zefer AI disclaims all liability for any damages or losses arising from or related to the use of the platform, including but not limited to:
Direct, indirect, incidental, consequential, or punitive damages
Loss of profits, business interruption, or loss of data
Any other damages or losses, regardless of the cause of action
13. Limitation of Liability
In no event will Zefer AI's liability for damages or losses exceed the amount of fees, if any, paid by the user to Zefer AI in the 12 months preceding the claim.
14. No Warranties
Zefer AI disclaims all warranties, express or implied, regarding the platform, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. Additionally, Zefer AI makes no warranty that the platform will meet users' requirements or that the platform will be uninterrupted, timely, secure, or error-free.
15. Indemnification
Users agree to indemnify and hold Zefer AI harmless from any claims, damages, or expenses arising from their use of the platform or violation of these Terms and Conditions.
16. Disclaimer
Zefer AI is not responsible for the conduct of other users or third-party service providers. All transactions are conducted at the user’s own risk.
17. Rules of Use
Users must comply with all applicable laws and regulations when using the platform. Prohibited activities include, but are not limited to:
Fraudulent activities
Harassment or bullying
Infringement of intellectual property rights
Spamming or phishing
Any other illegal activities
18. Advertisements and Promotions
Zefer AI may display advertisements and promotions from third parties. Users’ interactions with these third parties are solely between the user and the third party. Zefer AI is not liable for any loss or damage arising from such interactions.
19. Disputes
Any disputes arising from the use of the platform will be resolved through binding arbitration in the State of Delaware, United States of America. Users agree to contact Zefer AI to attempt to resolve any disputes informally before initiating legal proceedings.
20. Additional Terms of Service
Users who use third-party services provided through the platform are also subject to the terms and conditions of those third-party providers.
21. Links/Software
The platform may contain links to third-party websites. Zefer AI is not responsible for the content or security of these websites. Users access third-party websites at their own risk.
22. Privacy
Your use of the platform is governed by Zefer AI's Privacy Policy, which outlines how we collect, use, and protect your information. By using the platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.
23. Ownership
The platform and all content are the property of Zefer AI and its licensors. Users may not copy, modify, or distribute any content from the platform without express permission from Zefer AI.

25. User Content

27. Unlawful Activity
Zefer AI reserves the right to investigate and take action against any unlawful activity on the platform, including but not limited to:
Revoking licenses without compensation
Legal action
Reporting to authorities
28. General Provisions
These Terms and Conditions constitute the entire agreement between users and Zefer AI. If any part of these terms is found to be invalid, the remaining terms will remain in effect.
29. Governing Laws, Jurisdiction
These Terms and Conditions are governed by the laws of the State of Delaware, United States of America. Any disputes will be resolved in the courts of the State of Delaware, United States of America.
30. Entire Agreement
These Terms and Conditions, along with any referenced policies, constitute the entire agreement between users and Zefer AI.
31. Electronic Communications
By using the platform, users agree to receive electronic communications from Zefer AI. Users may opt-out of receiving promotional emails by following the unsubscribe instructions in the emails. However, users acknowledge that they may still receive transactional emails and other important communications from Zefer AI.
